Drafting and advisory services in general commercial matters including cross border investment, international trade, securities, joint ventures and shareholders’ agreements and distributorship, agency agreements, sales contracts, service contracts, hire purchase and sub-contract agreements.

VII. A New Department Within Our Organisation – Malaysia China Investment Laws

We, Halim Hong & Quek have entered into a collaboration agreement with a China legal firm, named Hong Seng Law Firm at Shanghai. Each of us agrees to set up a law desk, ours is China Laws Desk and theirs is Malaysia Laws Desk in our respective country.

China Law Desk: We provide the following legal services through this China Law Desk:-

i. Executing Sale and Purchase Agreement (“SPA”) and Loan Documents in Shanghai: for those China buyers or borrowers who wish to sign the SPA and Loan Documents in Shanghai, without coming to Malaysia, our Shanghai counterpart may provide or cause to provide the attestation and authentication services (subject to the resident status of the China buyers or borrowers). All documents are translated into Chinese for ease of reading.

ii. Providing legal advice on China law and issues, in particulars, the China laws on taxation, import and export regulations, land used regulations, labour laws, company laws, banking and financing regulations and etc. The advisory services may be conducted via email, Skype or video conferencing.

iii. Preparing, negotiating and finalizing agreements pertaining to Commercial and Corporate matters, which include agreements relating to Agency, Commission, Distribution/Marketing, Joint Venture, Partnership, Sale of Business/Shares, Transfer of Land Used Rights and Shareholders Agreement.
